Choosing the Right
State to Incorporate

The state you incorporate in affects your privacy, taxes, fees, and ongoing compliance requirements. Here are the most popular choices — and what each is best for.

Your Home State

For most small businesses operating locally, incorporating in your home state is the simplest and most cost-effective choice — avoiding foreign registration fees in a second state.

  • No foreign registration required
  • Lower total annual costs
  • Simpler compliance
  • Best for local businesses

Recommended for most small businesses and sole-proprietor LLCs.

Most Popular

Delaware

The gold standard for venture-backed startups and corporations planning to raise investment. Delaware's Court of Chancery and flexible corporate law are favored by investors.

  • Investor-friendly legal framework
  • No state income tax on out-of-state income
  • Strong privacy protections
  • Required for most VC-backed companies

Best for startups seeking investment or planning to go public.

Wyoming

Wyoming offers the strongest privacy protections of any US state, no state income tax, low annual fees, and strong LLC charging order protections — popular for asset protection.

  • No state income tax
  • No public member disclosure
  • Strong asset protection laws
  • Low annual fees (~$60/year)

Best for privacy-focused owners and holding companies.

BOI Reporting:
Required for Most Businesses

Under the Corporate Transparency Act, most LLCs and corporations formed or operating in the United States are now required to file Beneficial Ownership Information (BOI) reports with FinCEN — the Financial Crimes Enforcement Network.

New businesses must file within 30 days of formation. Existing businesses must keep their BOI current whenever ownership or management changes. Non-compliance can result in civil penalties of $500 per day.

$500/Day Penalty for Non-Compliance

Most businesses formed after January 1, 2024 must file their initial BOI report within 30 days of formation. We handle the filing accurately and on time — and notify you when updates are required.

Business Formation Questions,
Answered Honestly

Which state should I form my LLC in?
For most small businesses that operate locally, incorporating in your home state is usually the best choice — it avoids paying annual fees and taxes in both your home state and the state of formation. Delaware and Wyoming make sense for specific situations: Delaware for VC-backed startups or those needing strong corporate law, Wyoming for privacy and asset protection. We give you a recommendation based on your specific goals.
How long does it take to form an LLC?
State processing times vary. Most states process LLC formations in 1–5 business days for standard filing, or same-day with expedited processing. Your EIN is typically obtained from the IRS within 1–2 business days. We can have most businesses fully formed and operational within a week. For urgent situations, we offer expedited processing.
Do I need to file a BOI report if I already have an LLC?
Most likely yes. Under the Corporate Transparency Act, most existing LLCs and corporations are required to file a BOI report with FinCEN. Non-compliance can result in civil penalties of $500 per day. There are 23 exemptions — large operating companies (20+ employees, $5M+ revenue), publicly traded companies, and certain regulated entities. Contact us and we'll confirm your filing requirement and handle the submission.
Do I need to issue 1099s to all my contractors?
You must file a 1099-NEC for any contractor, freelancer, or unincorporated service provider you paid $600 or more during the year. Payments to corporations (C-Corps and S-Corps) are generally exempt, with exceptions for attorneys and medical providers. We review your vendor list, determine who requires a 1099, and handle all preparation and filing before the January 31 deadline.
Can I elect S-Corp status after forming an LLC?
Yes — an LLC can elect to be taxed as an S-Corp by filing Form 2553. The election must typically be made within 75 days of the start of the tax year you want it to apply to. Late election relief is available in many circumstances. Once elected, you'll need to run payroll and file Form 1120-S. We handle the election filing and advise on whether the S-Corp structure makes financial sense for your income level.
How much does business formation cost?
Our flat-fee LLC formation service starts at $299 plus the state filing fee (which varies by state — typically $50–$500). EIN obtainment is $75. BOI reporting is $149. 1099 preparation is $25 per form. We always quote a complete, all-in price upfront — no hidden fees.
